ROC Annual Compliance Calendar for Private Limited Companies

AOC-4, MGT-7, DIR-3 KYC, board meetings, statutory audit — every Pvt Ltd compliance and its real deadline, in one calendar.

A Private Limited Company carries annual obligations whether or not it trades. Dormant companies with zero revenue accumulate exactly the same filing penalties as active ones — and at ₹100 per day per form with no upper cap, those numbers get serious fast.

The annual calendar

  • Within 30 days of incorporation — first board meeting; appoint the first auditor within 30 days
  • 30 September — statutory audit completed and accounts signed
  • 30 September — Annual General Meeting held (within six months of financial year end)
  • 30 September — DIR-3 KYC for every director holding a DIN
  • 30 October — Form AOC-4, filing of financial statements (within 30 days of the AGM)
  • 29 November — Form MGT-7 or MGT-7A, the annual return (within 60 days of the AGM)
  • Form ADT-1 — auditor appointment intimation, within 15 days of the AGM
  • Form DPT-3 — return of deposits, by 30 June each year
  • Form MSME-1 — half-yearly return of outstanding dues to MSME suppliers, by 30 April and 31 October

Board meeting requirements

A Private Limited Company must hold at least four board meetings a year, with a gap of no more than 120 days between consecutive meetings. Small companies may hold two, one in each half of the calendar year, again with a minimum 90-day gap. Minutes must be recorded and maintained in a bound minute book.

Penalties

  • AOC-4 and MGT-7 late filing — ₹100 per day per form, with no maximum limit
  • Failure to file for two consecutive years — the company can be struck off the register
  • DIR-3 KYC missed — the DIN is deactivated and a ₹5,000 fee applies for reactivation
  • Directors of struck-off companies can be disqualified for five years under Section 164(2)

Event-based filings people forget

  • Form PAS-3 — return of allotment, within 15 days of any share allotment
  • Form DIR-12 — within 30 days of any director appointment or resignation
  • Form INC-22 — within 30 days of a registered office change
  • Form MGT-14 — for special resolutions, within 30 days of passing
  • Form CHG-1 — creation or modification of a charge, within 30 days

The practical advice: set calendar reminders 30 days ahead of each date, and treat the September cluster as one project rather than four separate tasks. Almost every penalty we see traces back to the AGM slipping, which then cascades into AOC-4 and MGT-7 being late as well.
